By creating an account, making a purchase, or otherwise using Stickier, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform. Your continued use of Stickier after such changes constitutes acceptance of the modified Terms.
2. Eligibility
To use Stickier, you must:
- Be at least 13 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using our services under applicable law
- Provide accurate and complete registration information
If you are using Stickier on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.
4. Platform Description
Stickier is a marketplace for buying, selling, and collecting premium vinyl stickers. Our platform allows users to:
- Purchase stickers at prices determined by our dynamic hype score pricing model
- Sell stickers they own through our marketplace
- Track their portfolio value and market rankings
- Choose between immediate shipping or holding stickers for later delivery
Stickers purchased on Stickier are physical goods that will be printed and shipped to you, unless you choose the "Ship Later" option.
5. Pricing and Payments
Dynamic Pricing
Sticker prices on Stickier are determined by a hype score algorithm that reflects market sentiment. This means:
- Prices increase as more stickers are purchased (demand signal)
- Prices decrease when stickers are shorted or listed for sale (bearish signal)
- The price you pay or receive may differ from the displayed price due to market movements
Fees
Various fees may apply to your transactions:
- Seller fees: A percentage fee on sales, which varies based on whether stickers are held or pending shipment
- Shipping fees: Flat-rate or calculated shipping costs for physical delivery
- Other fees: As disclosed at the time of transaction
All fees are displayed before you complete a transaction. By proceeding with a transaction, you agree to pay all applicable fees.
Payment Processing
Payments are processed through third-party payment processors. You agree to comply with their terms of service and provide accurate payment information.
6. Orders and Fulfillment
When you place an order:
- You are making an offer to purchase at the stated price
- We reserve the right to accept or reject orders at our discretion
- Order confirmation does not guarantee availability
- Shipping times are estimates and not guaranteed
For "Ship Later" orders, stickers are held in your digital inventory. After 365 days, we will automatically ship any remaining held stickers to your registered address.
Design Variations
The final printed design of each sticker may differ from what is displayed on our website at the time of purchase. Variations may occur due to:
- Updates to our sticker templates and design standards
- Changes to brand logos or visual identity by the brand owner
- Trademark claims or intellectual property requests that require design modifications
- Print color calibration and material differences
- Quality improvements implemented between order and fulfillment
This is particularly relevant for "Ship Later" orders, where time may pass between purchase and printing. By placing an order, you acknowledge and accept that the printed sticker may not be identical to the preview shown at the time of purchase.
7. Prohibited Conduct
You agree not to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Engage in fraudulent, deceptive, or manipulative activities
- Attempt to manipulate prices or market conditions
- Create multiple accounts to circumvent rules or restrictions
- Use automated systems to access our platform without permission
- Interfere with the operation of our platform
- Harass, abuse, or harm other users
- Impersonate others or misrepresent your affiliation
- Collect or harvest user information without consent
8. Intellectual Property
The Stickier platform, including its design, features, and content, is protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or distribute our proprietary content
- Use our trademarks without written permission
- Reverse engineer or attempt to extract our source code
- Remove any copyright or proprietary notices
Stickers featuring third-party brands are used with permission or under fair use principles. Purchasing a sticker does not grant you intellectual property rights to the featured brand.
9. Disclaimer of Warranties
STICKIER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- Our platform will be uninterrupted or error-free
- Defects will be corrected
- Our platform is free of viruses or harmful components
- Information on our platform is accurate or complete
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MMOD, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF STICKIER.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF STICKIER SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless MMOD, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of Stickier
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or user submissions
12. Dispute Resolution
Any disputes arising from these Terms or your use of Stickier shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
You agree to waive any right to participate in class action lawsuits or class-wide arbitration against us.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
14. Termination
We may suspend or terminate your access to Stickier at any time, with or without cause, and with or without notice. Upon termination:
- Your right to use our platform ceases immediately
- We may delete your account and associated data
- Outstanding obligations and liabilities survive termination
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
